1. About these terms
These terms apply to everyone who uses Equity Investor Gateway (“we”, “us”, “the platform”), including the public website, the dashboard and any enquiry you send through them. By creating an account or using the platform you agree to them.
Our Privacy Policy explains how we handle personal information and forms part of these terms.
2. What the platform does
The platform is an online marketplace and directory. It lets business owners present businesses seeking investment or for sale, and lets investors, private equity firms, buyers and professional advisers find and contact each other.
- We are not a party to any investment, sale or engagement between users, and we do not negotiate or settle transactions.
- We are not a financial adviser, broker, dealer or lender. Nothing on the platform is financial, investment, legal, tax or accounting advice, or an offer or recommendation to buy, sell or invest.
- Listings, figures and profiles are provided by users. We review them before publishing but do not audit or verify the financial information, and we cannot guarantee it is accurate or complete.
- The valuation guide and estimator are illustrative only and are not a professional valuation.
Always carry out your own due diligence and get independent professional advice before making any decision.
3. Accounts
- You must be at least 18 and able to enter into a binding agreement. If you act for a company or other organisation, you confirm you are authorised to do so.
- Give accurate information and keep it up to date. You must verify your email address before submitting a listing or profile for review.
- Keep your password secure. You are responsible for activity on your account; tell us straight away if you think it has been misused.
- Each account is for one person. Accounts can hold several roles (business owner, investor, buyer, professional). Our team uses separate accounts for marketplace activity.
We may suspend or close an account that breaches these terms, provides false or misleading information, or puts other users at risk. Suspended accounts' listings and profiles are hidden while the suspension lasts.
4. Business owners and listings
- You must own the business or be authorised to list it, and you are responsible for everything in your listing, including financial figures, photos and documents.
- Information must be true, current and not misleading, and must not infringe anyone else’s rights.
- Every listing is reviewed before it is published. We may ask for changes, decline, suspend or remove a listing, including where it doesn’t fit the platform or we have concerns about its accuracy.
- You can keep the business name and identifying details confidential. It is your choice what you share with whom.
5. Confidential information and Information Memoranda
An owner may upload an Information Memorandum (IM) and decide who may access it. If you receive an IM or other confidential information through the platform:
- use it only to evaluate the opportunity it describes;
- do not share it with anyone except your professional advisers, who must keep it confidential too;
- do not contact the business’s staff, customers or suppliers without the owner’s consent; and
- delete or return it if the owner asks, or if you decide not to proceed.
Owners may withdraw access at any time. Access is recorded. Owners may also ask you to sign a separate confidentiality agreement before sharing more.
6. Membership, payments and cancellation
Business owners need an active membership to publish listings. Investors, buyers and professional advisers can join free.
- Plans, prices and the investment amount each plan covers are shown on the Membership page. Prices are in Australian dollars. Custom (Enterprise) plans are agreed with our team.
- Memberships renew monthly. You can pay by card or monthly direct debit through our payment provider, or by bank transfer where offered. Bank transfers start or renew a plan once our team has confirmed the payment.
- If a payment fails or is late, your listings stay live for a grace period shown in your dashboard. If it isn’t resolved, the membership expires and your listings are paused (hidden, not deleted) until you subscribe again.
- If you move to a plan that doesn’t cover a listing’s investment amount, that listing is paused until you upgrade or change the amount.
- You can cancel online memberships from your dashboard; they end at the end of the paid period. Fees already paid are not refunded for part periods, except where required by law.
- We may change prices for future periods. Existing memberships keep their agreed price unless we tell you in advance.
Nothing in these terms limits your rights under the Australian Consumer Law. Where a consumer guarantee applies and cannot be excluded, our liability is limited where the law allows to supplying the service again or paying for it to be supplied again.
7. Investors, private equity firms and buyers
- Investor profiles are reviewed before they appear in the directory. Private equity firms are listed in the Private Equity Firms directory.
- Describe your criteria and capacity honestly, and only request information you genuinely intend to consider.
- Any investment or purchase is a matter between you and the business owner. Make your own enquiries and get independent advice.
8. Professional advisers
- Business brokers, accountants, lawyers and commercial lenders are responsible for holding any licence, registration or membership their work requires, and for the advice and services they provide.
- Where we check a licence, membership or practising certificate against a public register, that check is made at the time of review only. It is not an endorsement or recommendation.
- Engagements, fees and terms are agreed directly between you and the professional.
9. Enquiries and dealings between users
Enquiries go to the owner of the listing or profile (or to our team for firms we manage). Dealings between users are their own responsibility.
Be honest and professional, and don’t use contact details you receive for anything other than the enquiry.
10. Acceptable use
You must not:
- post false, misleading, unlawful, defamatory or infringing content;
- send spam, harvest other users’ details, or use the platform to promote unrelated products or schemes;
- attempt to access accounts, data or documents you aren’t authorised to see, or interfere with the platform’s security or operation;
- copy, scrape or resell listings or directory content; or
- use the platform for any unlawful purpose, including fraud, money laundering or unregistered financial services.
11. Your content and our content
You keep ownership of the content you upload. You give us a non-exclusive licence to host, display, resize and share it on the platform so we can provide the service, including showing published listings and profiles to the public.
The platform’s design, software, text and branding belong to Equity Investor Gateway or its licensors. You may not copy or reuse them without permission.
12. Availability and liability
We work to keep the platform available and secure, but we don’t guarantee it will be uninterrupted or error-free, and we may change or withdraw features.
To the extent the law allows, we are not liable for any loss arising from information provided by users, decisions you make based on the platform, dealings between users, or indirect or consequential loss. Nothing in these terms excludes liability that cannot be excluded by law.
13. Changes and ending your use
We may update these terms from time to time. We will show the new date at the top of this page and, for significant changes, let account holders know by email. Continuing to use the platform means you accept the updated terms.
You can stop using the platform at any time. Contact us if you would like your account closed.
14. Governing law
These terms are governed by the laws of New South Wales, Australia, and you agree to the non-exclusive jurisdiction of its courts.
